1. Contract structure and acceptance
These Terms & Conditions apply to your access to and use of ModuPage, including the public website, product accounts, project-based puzzle-book workflows, template configuration, assemblies, previews, exports, support interactions, and paid subscriptions.
By accessing or using ModuPage, creating an account, starting a trial, purchasing a plan, or otherwise using the service, you agree to be bound by these Terms & Conditions and the related ModuPage legal documents that apply to your use, including the Privacy Policy , the Data Processing Addendum (DPA) and the Refunds & Billing.
If a separate signed order form, enterprise agreement, or other written agreement with ModuPage conflicts with these Terms & Conditions, that separate signed agreement controls for its own subject matter. Otherwise, these Terms & Conditions control.
ModuPage may update these Terms & Conditions from time to time. If a change is material, we may provide notice through the website, the product, or the account email address associated with your use. Your continued use of ModuPage after the effective date of an updated version means you accept the updated Terms & Conditions.
If you do not agree to these Terms & Conditions, you must not use ModuPage.
2. Eligibility, organizational use, and accounts
You may use ModuPage only if you are legally able to form a binding contract under applicable law. If you use ModuPage on behalf of a company, firm, or other organization, you represent that you have authority to bind that organization to these Terms & Conditions.
You must provide accurate registration, billing, and contact information and keep it reasonably current. You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs through your account and any authorized users.
You must promptly notify ModuPage if you become aware of unauthorized access, compromised credentials, or another security issue affecting your account. ModuPage may require reasonable verification steps, reset credentials, or temporarily restrict access if it detects fraud, misuse, suspicious activity, or a security threat.
3. License scope and service access
Subject to these Terms & Conditions, ModuPage grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the service during the applicable subscription term or lawful free access period for your internal business, publishing, or creative operations.
ModuPage may impose or enforce plan limits, feature restrictions, export quotas, storage limits, rendering limits, or other technical or operational controls. Access to features may vary by plan, environment, puzzle type, product maturity, or account state.
No ownership rights are transferred to you. Except to the extent non-waivable law requires otherwise, you may not reverse engineer, decompile, disassemble, derive source code from, copy protected non-public product logic from, or otherwise attempt to extract the underlying technology of ModuPage.
4. Customer content, exports, and publishing responsibilities
You retain ownership of the projects, templates, assemblies, custom word lists, uploaded assets, export settings, and other content that you upload, submit, organize, or generate through ModuPage.
You also retain commercial rights to the PDF exports, book interiors, puzzle collections, and related output files generated through your account. Subject to these Terms & Conditions, you may use those exports commercially, including self-publishing, selling, distributing, or listing them on platforms such as Amazon KDP, Etsy, or similar marketplaces.
You grant ModuPage the rights reasonably necessary to host, store, cache, render previews, generate puzzle output at export time, transmit, secure, back up, troubleshoot, and improve the service in connection with that content.
You are responsible for ensuring that you have the right to upload and use the content you submit, including word lists, titles, images, branding, and other assets, and that your use of ModuPage complies with applicable law, contractual obligations, confidentiality duties, and marketplace rules that apply to your publishing workflow.
You are also responsible for reviewing previews and final exports before relying on them. ModuPage is a software tool for designing and exporting puzzle-book files. Preview results, layout checks, puzzle generation, and export output may still require human review, and ModuPage does not guarantee acceptance by Amazon KDP or any other marketplace, printer, or distributor.
If you want copies of your projects, content, or exports for your own records, you are responsible for downloading or exporting them before access ends or before you delete them, subject to the functionality made available by ModuPage.
5. Acceptable use and prohibited conduct
You may use ModuPage only for lawful, authorized, and legitimate creative or publishing workflows. You may not use ModuPage to:
- upload or use content you do not have the right to use or license;
- engage in fraud, deception, harassment, infringement, or other unlawful conduct;
- generate or distribute illegal, harmful, hateful, or infringing materials;
- upload malware, malicious code, or content designed to disrupt, damage, or gain unauthorized access to systems or data;
- interfere with service security, availability, monitoring, infrastructure, or other users' access;
- scrape, probe, benchmark, or reverse engineer ModuPage in a way that is not expressly allowed by law or by ModuPage in writing;
- resell, sublicense, lease, or otherwise make ModuPage available to unauthorized third parties; or
- circumvent plan limits, payment obligations, technical controls, usage limits, export quotas, or access restrictions.
ModuPage may investigate misuse and may suspend, restrict, or terminate access where reasonably necessary to protect users, infrastructure, legal compliance, or the integrity of the service.
6. Fees, subscriptions, taxes, and refunds
ModuPage may offer free and paid plans. Current pricing, included usage, plan features, billing intervals, and usage limits are shown on the website or at checkout at the time of purchase.
Paid plans are billed in advance on a recurring subscription basis unless stated otherwise at checkout. Subscriptions renew automatically until canceled before the next renewal date.
ModuPage may use a merchant-of-record or payment provider to process checkout, collect payment, issue receipts, calculate taxes, and manage related billing operations. You authorize ModuPage and its billing providers to charge the payment method you provide for applicable subscription fees, taxes, and other properly due charges.
If payment fails, a charge is reversed, or an invoice remains overdue, ModuPage may suspend access to paid features until billing is resolved. Except as expressly set forth on the Refunds & Billing page or required by mandatory law, all fees are non-refundable. ModuPage may also update pricing in the future and may provide notice before a price change applies to a future renewal where reasonably possible or legally required.
Refund eligibility, renewal handling, cancellation timing, tax treatment, and other billing procedures are described on the Refunds & Billing, which forms part of these Terms & Conditions.
7. Third-party services and service changes
ModuPage may rely on third-party hosting, storage, billing, support, analytics, communications, monitoring, security, font delivery, authentication, or other infrastructure and service providers to operate the platform.
ModuPage may also offer links, integrations, or compatibility with third-party tools, marketplaces, or services. Those third-party products are governed by the terms and policies of their own providers, not by these Terms & Conditions.
ModuPage may update, improve, modify, rename, restrict, discontinue, or replace any feature, puzzle workflow, preview behavior, export path, or integration at any time. ModuPage does not guarantee that any feature, puzzle type, or workflow will remain available forever.
Open-source software components included in or used by ModuPage remain subject to their applicable open-source licenses where required.
8. Confidentiality, privacy, and data handling
ModuPage treats non-public customer content as confidential and aims to limit access to it to personnel and providers who need that access to operate, secure, maintain, or support the service.
Confidentiality obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, is independently developed without use of the disclosing party's confidential information, or must be disclosed by law or legal process.
ModuPage's handling of personal data for website operation, account administration, support, billing, analytics, abuse prevention, and legal compliance is described in the Privacy Policy. If ModuPage processes personal data contained in customer project content on the customer's behalf, the processor-side terms are described in the Data Processing Addendum (DPA).
If you include personal data in projects, templates, word collections, uploaded assets, or exports, you are responsible for ensuring that you have a lawful basis and the necessary rights to use that data in your workflow.
ModuPage uses reasonable administrative, technical, and organizational safeguards appropriate to the service, but no system can be guaranteed to be perfectly secure.
9. Intellectual property, commercial output rights, feedback, and analytics
ModuPage and its website, software, interfaces, documentation, design elements, branding, puzzle-generation systems, export logic, and related materials remain the property of ModuPage or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use ModuPage under these Terms & Conditions and the commercial rights expressly described in Section 4, no ownership or other license rights are granted to you by implication, estoppel, or otherwise.
If you provide comments, ideas, bug reports, suggestions, or other feedback, ModuPage may use that feedback without restriction or compensation.
ModuPage may also generate and use aggregated, statistical, or de-identified service analytics that do not identify you or reveal your confidential content in order to operate, secure, improve, and analyze the service.
10. Disclaimers and product boundaries
To the maximum extent permitted by law, ModuPage is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
ModuPage does not warrant that the service will be uninterrupted, error-free, secure against every threat, or suitable for every publishing workflow. ModuPage does not warrant that previews, exports, puzzle generation, font rendering, layout calculations, or compliance checks will be complete, accurate, error-free, fit for a particular purpose, or accepted by every printer, marketplace, or distribution platform.
ModuPage is software only. It does not provide legal advice, tax advice, publishing approval services, marketplace approval guarantees, managed production services, or other regulated professional services.
11. Limitation of liability
To the maximum extent permitted by law, ModuPage and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, expected savings, or data, arising out of or related to the service or these Terms & Conditions.
To the maximum extent permitted by law, ModuPage's aggregate liability for all claims arising out of or related to the service or these Terms & Conditions will not exceed the total amount you paid to ModuPage for the service during the 12 months before the event giving rise to the claim. If the claim relates only to a shorter paid period, that shorter period applies.
Nothing in these Terms & Conditions excludes or limits liability that cannot be excluded or limited under applicable law, including any non-waivable consumer rights that may apply to you.
12. Indemnity
You agree to defend, indemnify, and hold harmless ModuPage, its operator, affiliates, service providers, and personnel from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your content, your lack of rights to submit or use it, your breach of these Terms & Conditions, your violation of applicable law, or your misuse of ModuPage.
13. Suspension, termination, and survival
You may stop using ModuPage at any time and may cancel paid subscriptions so they do not renew for the next billing cycle, subject to the billing terms that apply to your plan.
ModuPage may suspend, restrict, or terminate access immediately if reasonably necessary to address fraud, misuse, non-payment, a security issue, legal risk, or a material breach of these Terms & Conditions.
On termination, your right to use ModuPage ends. Content and account-related data may remain in backups, logs, support systems, billing records, or retained copies for security, compliance, incident response, dispute resolution, tax, fraud prevention, or legal reasons as described in the Privacy Policy.
Sections that by their nature should survive termination, including provisions on payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity, and general legal terms, will survive termination.
14. General legal terms
ModuPage and you are independent contracting parties. These Terms & Conditions do not create a partnership, joint venture, fiduciary relationship, agency relationship, or employment relationship between the parties.
You may not assign or transfer these Terms & Conditions without ModuPage's prior written consent. ModuPage may assign or transfer them in connection with an affiliate restructuring, financing, merger, acquisition, reorganization, or sale of assets.
ModuPage will not be liable for delay or failure caused by events outside its reasonable control, including failures of telecommunications, hosting, utilities, labor actions, governmental actions, or force majeure events.
If any provision of these Terms & Conditions is held unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of future enforcement. These Terms & Conditions constitute the entire agreement between you and ModuPage on the subject matter they cover unless a separate signed agreement applies.
Unless mandatory law says otherwise, these Terms & Conditions are governed by the laws of Estonia. Any dispute that cannot be resolved through good-faith discussion will be submitted to the competent courts associated with that governing law.
